LIVECITIZEN 2009 NEWS STORY COMPETITION
OFFICIAL CONTEST RULES
(1) GENERAL: These are the official rules (the “Official Rules”) for the LIVECITIZEN 2009 News Story Competition (the “Competition”). The Competition is offered by Advanced Video Communications, Inc., a California corporation (”AVC”) located at 633 W. 5th Street, Suite 6800, Los Angeles, California 90071, which owns and operates the LiveCitizen website (www.livecitizen.com).
(2) HOW TO ENTER:
(a) The Competition begins on October 12, 2009 at 12:01 a.m. Pacific Daylight Time (”PDT”) and ends at 11:59:59 p.m. PDT on December 31, 2009 (”Submission Period”). You may enter by going to www.livecitizen.com (”LiveCitizen”). You will need to register with LiveCitizen and become a member in order to enter the Competition.
(b) There is no limit to how many entries you can submit but you may only win one prize. For an entry to be valid you must submit (1) a news story comprised of a written article of at least 400 words and an embedded video recording of a related live broadcast with a duration of at least two (2) minutes (”News Article”), and (2) the Release and Consent of Parent or Guardian of Minor Child at the bottom of these rules, signed by Entrant’s parent or guardian if Entrant is a minor (collectively, an “Entry” or “Entries”).
(c) You must submit your News Article(s) by posting it/them to the LiveCitizen website and entering it/them in the Competition. To post a news article to the LiveCitizen website, you must (1) log into your LiveCitizen account; (2) Click on the “BROADCAST” button on your Dashboard and enter your article’s Headline where indicated; (3) Click on “START BROADCAST” to begin your live broadcast; (4) Click on “RECORD” to record your live broadcast; (5) After you complete your recording, Click on “EDIT ARTICLE” and enter or paste your article’s text where indicated (MAKE SURE YOU DO NOT DELETE THE MEDIA PLACEHOLDER WHICH CONTAINS YOUR EMBEDDED VIDEO). To enter your posted article(s) in the Competition, you must (1) log into your LiveCitizen account; (2) Click on the “CONTEST” button on your Dashboard; (3) Check the box to the left of the Article(s) you wish to enter; (4) click the check box to indicate that you agree with these Official Contest Rules; and (5) click “SUBMIT.”
(d) You may enter the Competition as many times as you wish during the Submission Period, but each entry must be submitted individually. Entries will be disqualified if the Submission contains any pornographic or obscene material, illegal activity, extremely or excessively violent scenes, infringing content or other inappropriate content, or violates the LiveCitizen Terms of Service, as reasonably determined by AVC in its sole discretion.
(e) All entries must be received in accordance with these Official Rules and the instructions provided on LiveCitizen no later than 11:59:59 p.m. PDT, December 31, 2009, when the Competition ends.
(f) Submissions of the Release and Consent of Parent or Guardian of Minor Child may be sent via U.S. Mail to:

(3) OWNERSHIP:
(a) All News Articles submitted must be the original creation of the entrant, or the entrant must have the necessary rights to all content and other intellectual property contained or used in the News Article.
(b) By submitting an Entry and/or accepting any prize, you represent and warrant that the News Article (a) is your original creation in accordance with these Official Rules, (b) has not been copied in whole or in part from any other work, (c) does not violate or infringe any copyright, trademark or other proprietary or intellectual property right of any person or entity, (d) complies with the LiveCitizen Terms of Service and (e) is your sole and exclusive property.
(c) News Articles, and all concepts or ideas contained or embodied therein, are and shall remain the property of the entrant. Notwithstanding, when you enter the Competition and post a News Article to LiveCitizen, you authorize and direct AVC to make such copies thereof as deemed necessary in order to facilitate the posting and storage of the News Article on LiveCitizen. By submitting a News Article, you automatically grant, and you represent and warrant that you have the right to grant, to AVC and its respective successors and assigns, a worldwide, non-exclusive, perpetual, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the News Article in connection with the Competition, LiveCitizen, including without limitation for the promotion and marketing thereof in any media formats and through any media channels.
(4) ELIGIBILITY REQUIREMENTS:
(a) Entrants must be 14 years of age or older and must be legal residents of the 50 United States and the District of Columbia (excluding overseas military installations, Puerto Rico and other U.S. territories).
(b) Employees of broadcast networks, cable networks or studios are ineligible to compete in the Competition.
(c) Any individuals (including but not limited to employees, consultants, independent contractors, officers, directors, representatives, agents, and interns) who have, within six months prior to the start date of the Competition, performed services for Advanced Video Communications, Inc., or its affiliated companies, and the immediate family and household members of such individuals, are not eligible to enter or win, and may not participate in, the Competition. “Immediate family members” shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses, regardless of where they live. “Household members” shall mean people who share the same residence at least three months a year, whether related or not.
(d) News Articles must be in English, and must be submitted by no later than 11:59:59 p.m. PDT, December 31, 2009.
(e) Entrant’s may submit more than one Entry, but may only win one prize.
(5) WINNER SELECTION:
(a) All entries will be pre-screened to assure they have met the submission guidelines and eligibility requirements and comply with these Official Rules before being officially accepted into the Competition (”Eligible Entries”).
(b) All Eligible Entries will be judged collectively by the LiveCitizen Team. The Ten (10) Eligible Entries with the highest scores will be awarded the corresponding prize. Winning a prize is determined solely based on the highest scores achieved under the Judging Criteria and is contingent upon fulfilling all requirements of these Official Rules. However, Entrant’s may only win one prize.
(c) AVC will announce the top ten Eligible Entries at 1:00 p.m. PDT on January 15, 2010, at Advanced Video Communications, Inc. 633 W. 5th Street, 68th Floor, Los Angeles, CA, 90071. AVC will announce the First Place, Second Place, and Third Place winners at 1:00 p.m. PDT on January 22, 2010. AVC will notify the Winners by email to the email address associated with the LiveCitizen account used to post the winning Entry. In the event that an Entrant’s email address changes, it is the Entrant’s responsibility to notify AVC of such change. In the event that any prize notification is undeliverable, AVC is unable to contact a Winner, or response to a prize notification is not received within seven (7) days of its issuance, the prize may be forfeited. Where a prize is forfeited, the Entrant with the next highest score in accordance with the Judging Criteria will be chosen as an alternate winner. Winners will be posted on the LiveCitizen on or about January 22, 2010.
(6) PRIZES:
(a) There will be ten (10) Prizes: One (1) first place prize, One (1) second place prize, One (1) third place prize, and seven (7) consolation prizes selected from among all Eligible Entries (collectively, “Prize(s)”). First Place Prize: The first place prize winner will receive a cash prize of $500.00 and a LiveCitizen T-shirt valued at $15.00. Second Place and Third Place Prizes: The second place prize winner and the third place prize winner will each receive one 16GB Apple Ipod Nano valued at $180.00 and a LiveCitizen T-Shirt, valued at $15.00. Consolation Prizes: The consolation prize winners will each receive a LiveCitizen T-shirt valued at $15.00.
(b) The total value of all prizes is $1,010.00. All prizes will be awarded. Where winner is a minor, prize will be awarded in the name of the parent or guardian that signed the original written parental Release. No substitution or transfer of prizes is permitted. All taxes are the sole responsibility of the prize winners. AVC will issue an IRS Form 1099 to winners (or their parent or guardian) receiving a prize equal to or exceeding $600.00 in value.
(d) In the event of a dispute over the identity of an entrant, the entry will be deemed submitted by the authorized account holder of the e-mail address associated with the entry. “Authorized account holder” is defined as the person assigned to an e-mail address by an Internet access provider, on-line service provider or other organization responsible for assigning e-mail addresses.
(7) GENERAL CONDITIONS: Competition void where prohibited or restricted by law. Participation in the Competition constitutes Entrant’s full and unconditional agreement to and acceptance of these Official Rules and the LiveCitizen Terms of Service. AVC reserves the right in its sole discretion to disqualify any Entrant it finds to be tampering with the operation of the Competition or to be acting in violation with these Official Rules. Entrants agree that AVC, its affiliates, parents, subsidiaries, agents or contractors and their employees, officers and directors shall not be liable for injury, loss or damage of any kind resulting from participating in this Competition. Because this is a Competition of skill, odds of winning depend upon the eligible Competition Entries received and Entrants’ final score, as determined by the Judging Criteria for the Competition. Winning is contingent upon fulfilling all requirements of these Official Rules and AVC’s decisions as to the administration of the Competition and prize awards are final. AVC reserves the right, in its sole discretion, to cancel, modify or suspend the Competition should fraud, technical failures, or any other factor beyond the reasonable control of AVC impair the integrity of the Competition, as determined by AVC in its sole discretion. In such event, AVC reserves the right to award prizes based on the Judging Criteria from the eligible Competition Entries received up to the time of impairment. BY ENTERING THE COMPETITION, YOU AGREE TO DEFEND, INDEMNIFY AND HOLD HARMLESS AVC, ITS AFFILIATES, PARENT, SUBIDIARIES, AGENTS OR CONTRACTORS AND THEIR EMPLOYEES, OFFICERS AND DIRECTORS FROM ANY LOSS, LIABILITY, CLAIM OR DEMAND, INCLUDING REASONABLE ATTORNEYS’ FEES MADE BY ANY THIRD PARTY DUE TO OR ARISING OUT OF THE ENTRY YOU SUBMIT OR YOUR BREACH OF ANY OF THE REPRESENTATIONS AND WARRANTIES HEREIN, OR YOUR VIOLATION OF ANY RIGHTS OF ANOTHER. ENTRANT AGREES TO RELEASE AND HOLD HARMLESS AVC, ITS AFFILIATES, PARENT, SUBIDIARIES, AGENTS OR CONTRACTORS AND THEIR EMPLOYEES, OFFICERS AND DIRECTORS (”RELEASED PARTIES”) FROM AND AGAINST ANY AND ALL CLAIMS, CAUSES OF ACTION AND/OR LIABILITY FOR ANY INJURIES, ILLNESS, DEATH, LOSS OR DAMAGE OF ANY KIND ARISING FROM OR IN CONNECTION WITH PARTICIPATION IN AND/OR ENTRY INTO THE COMPETITION OR RECEIPT OR POSSESSION, USE OR MISUSE OF ANY PRIZE OR ELEMENT THEREOF. The Released Parties are not responsible for late, lost, illegible, incomplete, stolen, misdirected, illegitimate, or impermissible submissions or mail; postage due mail; or any other error whether human, mechanical or electronic, including any technical malfunctions of the computer on-line system, computer equipment, hardware, or software. Proof of sending or submitting an Entry will not be deemed to be proof of receipt by AVC. AVC is not liable for damage to an Entrant’s computer system in any way due to an Entrant’s participation in the Competition or downloading of any information in connection with the Competition, including without limitation any server failure, lost, delayed or corrupted data, or other malfunction. AVC reserves the right to modify or cancel the Competition in the event it becomes technically corrupted. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE COMPETITION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, AVC RESERVES THE RIGHT TO SEEK DAMAGES FORM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW.
(8) LAW: Except where prohibited, by participating in the Competition each entrant agrees that: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and AVC shall be governed by and construed exclusively in accordance with the laws of the State of California, U.S.A., without giving effect to any principles of conflicts of law of any jurisdiction. Each entrant agrees that any action arising out of or relating to the Competition shall be filed only in the state or federal courts located in the County of Los Angeles in the State of California and each entrant hereby consents and submits to the personal jurisdiction of such courts for purposes of litigating any such action. Except where prohibited, by participating in the Competition, each entrant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with the Competition shall be resolved individually, without resort to any form of class action; and (b) entrant’s remedies shall be limited to actual out-of-pocket costs incurred directly in connection with participating in the Competition; and (c) entrant waives all other remedies, including without limitation attorneys’ fees, punitive, incidental or consequential damages or any other damages, or injunctive or other equitable relief.
(9) WINNER’S LIST: A copy of these Official Rules and the Competition results may be obtained by visiting www.livecitizen.com or by mail to: LiveCitizen Competition, 633 W. 5th St., 68th Floor, Los Angeles, CA 90071. Competition results will be available on or about January 22, 2010. Requests must be received no later than March 31, 2010.
RELEASE AND CONSENT OF PARENT OR GUARDIAN OF MINOR CHILD
I represent that I am the parent or guardian of the minor named below and have the legal authority to grant and execute this Release. I hereby expressly agree with the LiveCitizen Terms of Service and the LiveCitizen 2009 News Story Competition Official Contest Rules, and further understand and expressly agree that this Release binds me and the minor to all the terms contained in the LiveCitizen Terms of Service and the LiveCitizen 2009 News Story Competition Official Contest Rules.
